About the Role

The Entrepreneur's Organization (EO) is a global community of entrepreneurs who share knowledge, experience, and resources to drive business growth and personal development. We are seeking an experienced Associate Corporate Counsel, Contracts & Compliance to join our team.

Key Responsibilities
  • Monitor and update EO's electronic contract management system, ensuring seamless workflow and efficient contract management.
  • Provide administrative support in managing the electronic document signature process, ensuring timely and secure execution of contracts.
  • Manage record keeping and archive functions related to legal agreements, adhering to EO's naming conventions and standards.
  • Support the creation of form agreement templates and playbooks, collaborating with the legal team to collect and organize data on problematic clauses and negotiated outcomes.
  • Provide preliminary review, issue spotting, and triage of agreements for various business units, including commercial contracts, speaker agreements, and professional service agreements.
  • Support compliance audit reviews of existing agreements to identify issues for resolution.
  • Undertake greater responsibility for review, drafting, and negotiation of commercial agreements under the supervision of the legal team, demonstrating competencies and expertise.
  • Conduct research as assigned by the Senior Director of Legal Affairs & Compliance to facilitate legal team provision of counsel and advice to internal stakeholders, CFO, SVP of Governance, and other executives on contractual matters, litigation, and other global and local issues.
  • Collaborate with Legal and Governance colleagues on process and system improvements, conducting research to gather and organize data related to legal team metrics.
  • Participate in data privacy initiatives and undertake special projects as assigned.
Requirements
  • Current law student or LL.B./Juris Doctorate/Bachelor of Laws from an accredited law school.
  • Preference for valid license to practice law in good standing or equivalent professional qualification.
  • At least 4-5 years' experience working with commercial contracts from a legal perspective.
  • Familiarity with a wide range of commercial contracts, standard clauses, reasoning for clauses, and negotiation tactics.
  • Familiarity with legal issues related to tax-exempt organizations, including tax laws such as private benefit, inurement, unrelated business income, and others.
  • 2-4 years' experience working in a nonprofit association preferred.
  • Familiarity and experience with global privacy laws, including the GDPR.
  • Familiarity with sales, VAT, and/or GST tax systems in processes in the European Union and other jurisdictions.
  • Excellent organizational skills and attention to detail.
  • Excellent customer service and interpersonal skills, logical solution-oriented thinker.
  • Excellent oral and written communication skills in English with a focus on excellent customer service approach to working with all levels of stakeholders.
  • Ability to be flexible, timely, and efficient.
