About the Role

The Senior Legal Counsel will be part of the Global Legal Department (GLD) and report directly to the Regional Legal Team (Iberia & Italy, Middle East & Anglophone Africa Region).

Key Responsibilities

The Senior Legal Counsel will be responsible for delivering all legal services (directly and using external resources, where approved) for the zone. This includes:

  • Providing quality and timely legal advice to the business on a day-to-day basis in areas such as:
    • Leased & property matters
    • Competition law
    • General Commercial transactions
    • Mergers and Acquisitions
    • Product and quality issues
  • Negotiating contracts and deals on behalf of the company
  • Claims & Litigation oversight & reporting

Collaboration and Support

The Senior Legal Counsel will also be responsible for:

  • Supporting transversal activities with local implementation within the zone
  • Providing reasonable assistance to other members of the Regions as requested by the Legal Management
  • Guiding managers and ensuring compliance with rules and regulations

Contract Management

The Senior Legal Counsel will work on a wide range of contractual matters to support the local commercial and procurement functions, many of which contain international elements. This includes:

  • Developing the organization's policies on industry-specific issues, corporate governance, or regulatory affairs
  • Drafting and negotiating a variety of contracts including nondisclosure agreements, supply agreements, purchase agreements, licensing and other software-related or IP agreements, distribution agreements, and other commercial agreements
  • Reviewing tenders & contracts & supporting negotiations
  • Preparing template agreements & T&Cs
  • Monitoring and improving contract compliance with established procedures
  • Providing redlined recommendations on contracts
  • Working with other teams, such as finance, tax, treasury, insurance, on contract negotiations and requirements at the local level
  • Maintaining and updating contractual records, changes, status reports, and other information
  • Involved in the management of pre-litigation situations and ensuring the management of disputes and litigation
  • Participating in the training activities provided by the Legal Management
