Werfenlife SA. is seeking a highly skilled and experienced Senior Legal Counsel to join our team. As a key member of our legal department, you will provide expert legal advice and support to our business units, focusing on mergers and acquisitions, venture capital, and commercial law.
Key Responsibilities- Provide Legal Support: Offer sound legal advice and support to Werfenlife SA.'s business units, including the We Venture Capital team, on various matters such as venture capital investments, M&A deals, and commercial contracts.
- Due Diligence and Negotiations: Participate in due diligence processes, draft and review due diligence reports, and attend negotiation sessions of agreements.
- Contract Management: Draft, review, and negotiate various contracts, including manufacturing, procurement, supply, OEM, distribution, agency, transport, logistics, license, material transfer agreements, clinical studies, consultancy, financing, real estate, services' provision, public tenders, and interactions with healthcare professionals.
- External Counsel Management: Coordinate, collaborate with, and instruct external lawyers, managing their budgets.
- Post-Closing Follow-Up: Provide legal advice and assist the We Venture Capital team in the post-closing follow-up of deals, including reviewing board and general shareholders' minutes, potential additional investment rounds, external financing, etc.
- Template Development: Draft and update templates and revisions with team members.
- Contract Monitoring: Keep updated copies of all ongoing contracts and monitor, to the possible extent, compliance of the relevant business units with the execution of the same.
To be successful in this role, you will need:
- Education: Law Bachelor. Master in Business Law and/or M&A and/or Venture Capital will be a plus.
- Experience: At least seven (7) years of proven experience in M&A and venture capital deals at a large law firm or at a big four.
- Commercial Law Experience: Commercial law experience will be a plus.
- Pharmaceutical, Healthcare, and/or Life Sciences Experience: Pharmaceutical, healthcare, and/or life sciences experience will be a plus.
- Additional Skills/Knowledge: Sound legal knowledge, English proficiency, and French or any additional language will be a plus.
