Werfenlife is seeking a highly skilled and experienced Senior Legal Counsel to join our team. As a key member of our organization, you will provide legal services to all Werfen affiliates, with a special focus on venture capital investments.
Key Responsibilities- Provide Legal Support: Offer sound legal advice to Werfen, including drafting, reviewing, and negotiating documents related to venture capital deals and M&A processes.
- Contract Management: Draft, review, and negotiate contracts for various business areas, including manufacturing, procurement, supply, OEM, distribution, agency, transport, logistics, license, material transfer agreements, clinical studies, consultancy, financing, real estate, services provision, and public tenders.
- Due Diligence: Participate in due diligence processes and draft/review due diligence reports.
- Negotiation and Coordination: Attend and actively participate in negotiation sessions of agreements, coordinate with external lawyers, and manage their budgets.
- Post-Closing Support: Provide legal advice and assist the We Venture Capital team in the post-closing follow-up of deals, including reviewing board and general shareholders' minutes, potential additional investment rounds, external financing, and other related matters.
- Template Development: Draft and update templates and revise with team members.
- Compliance Monitoring: Keep updated copies of all ongoing contracts and monitor compliance of relevant business units with the execution of the same.
Establish and maintain strong relationships with the We Venture Capital team and other stakeholders participating in venture capital investments, divestments, M&A deals, and other business units.
