About the Role:

We are seeking a highly skilled Corporate Governance Specialist to join our team at Reconocida empresa. As a key member of our Corporate Affairs and Transactions team, you will play a crucial role in supporting our national and international entities in all related corporate governance, M&A, and capital markets matters.

Key Responsibilities:

  1. Corporate Governance and M&A Support: Collaborate with our internal and external teams to review and prepare all types of legal M&A and capital markets documentation, ensuring seamless execution of projects from inception to completion.
  2. Agreement Review and Preparation: Review and prepare various agreements, including non-disclosure agreements, services agreements, corporate partnerships, joint ventures, and share purchase agreements.
  3. Corporate Governance and ESG Advice: Provide expert advice on corporate governance and ESG matters to ensure compliance with regulatory requirements.
  4. Regulatory Filings: Prepare and submit regulatory filings to national and international supervisory authorities, ensuring timely and accurate submissions.
  5. Board and Shareholder Meetings: Prepare and coordinate General Shareholders and Board of Directors Meetings, ensuring smooth execution and compliance with regulatory requirements.

Requirements:

  1. Experience: 2-3 years of experience in corporate and capital markets laws.
  2. Education: Spanish Degree in Law or Law and Business Administration.
  3. Professional Background: Proven experience in a top law firm, with a strong background in corporate M&A, capital markets transactions, and corporate governance.
  4. Skills: Excellent negotiation and communication skills, with the ability to interact with large corporations, regulators, and other stakeholders.
  5. Language Proficiency: Advanced proficiency in Spanish and English.
  6. Personal Qualities: High degree of professional ethics and integrity, with a commitment to maintaining an updated awareness of regulatory and legal topics.
