We are seeking for one of our clients a Corporate Legal Counsel. The role will be based in Madrid.Reporting to the Director of Corporate Legal Matters, the key responsibilities of the role are:Manage all corporate-related activities and oversee the corporate compliance for all legal entities within the business, the Spanish entities and supervision of international ones.Engage in the implementation of compliance policies and monitor good governance practices, including SCIFF and Sarbanes-Oxley controls.Contribute actively to various projects focusing on corporate matters, such as Joint Venture Agreements and Joint Bidding Agreements, either directly or in collaboration with local law firms.Prepare and review various types of agreements and contracts, primarily service agreements and intercompany financing arrangements, and assist the business with daily legal corporate or contractual queries.Conduct legal analysis of investment, divestment, or bid proposals to ensure alignment with internal regulations; draft legal reports to assess risks and provide information and recommendations for informed decision-making.Oversee the incorporation of new companies, handle capital increases/reductions, and other corporate transactions, as well as any potential restructuring or reorganization.Manage the issuance and follow-up of Powers of Attorney.Offer legal support to other departments within the business unit, addressing their questions and identifying and managing risks to ensure the company's interests are well-protected.Assist with trademark and other intellectual property rights in coordination with external specialists.Qualifications and Experience: Degree in Law.Bilingual in Spanish and English.Experience with the Anglo-Saxon legal system is preferred.At least 3 years of experience in a top-tier law firm or as in-house counsel for a multinational corporation.Expertise primarily in corporate and civil law, as well as corporate governance functions.Join a well-established company in the market with expanding areas that offer significant opportunities for professional development.
