Propósito del Puesto

El/la Senior Legal Counsel será responsable de liderar el asesoramiento legal al negocio, actuando como socio estratégico de la Dirección y de los equipos comerciales y de desarrollo corporativo.

El puesto tendrá un papel clave en la negociación, redacción y gestión de contratos complejos, con especial foco en acuerdos de Licensing-in, colaboraciones estratégicas y acuerdos internacionales propios del entorno farmacéutico.

Se trata de una posición senior, con alta exposición al negocio, autonomía en la toma de decisiones y relación directa con stakeholders internos y externos a nivel global.

Responsabilidades Principales

1. Asesoramiento Legal Estratégico

  • Proporcionar asesoramiento legal senior y orientado a negocio a los distintos departamentos de la compañía (Business Development, Comercial, Finanzas, Operaciones, Compras, RRHH).

  • Identificar y evaluar riesgos legales en operaciones estratégicas, proponiendo soluciones prácticas y alineadas con los objetivos de crecimiento.

  • Actuar como referente legal interno, con enfoque preventivo, pragmático y de valor añadido.

  • Contratación Compleja y Licensing

  • Liderar la redacción, revisión y negociación de contratos complejos, tanto nacionales como internacionales.

  • Gestión integral de acuerdos de Licensing-in (y related agreements), incluyendo negociación de términos económicos, derechos de explotación, territorios, IP, exclusividad y responsabilidades.

  • Asesorar en contratos de colaboración, distribución, suministro, servicios, confidencialidad y acuerdos estratégicos con terceros.

  • Asegurar la coherencia contractual con las políticas y estándares legales del Grupo.

  • Soporte a Business Development y Operaciones

  • Dar soporte legal a proyectos de crecimiento, alianzas estratégicas y nuevas oportunidades de negocio.

  • Colaborar estrechamente con los equipos de Business Development en fases de análisis, negociación y cierre de operaciones.

  • Participar activamente en procesos de toma de decisiones estratégicas, aportando visión legal y de mitigación de riesgos.

  • Corporate, Governance y Asesores Externos

  • Dar soporte en asuntos societarios y contractuales a nivel Grupo.

  • Coordinar y gestionar la relación con despachos externos nacionales e internacionales, garantizando calidad, eficiencia y control de costes.

  • Supervisar y gestionar posibles litigios o reclamaciones, en colaboración con asesores externos.

Aptitudes y conocimientos deseados:

-Licenciatura / Grado en Derecho. -Experiencia profesional sólida (mín. 8–10 años) como abogado/a, preferiblemente combinando despacho y entorno in-house en compañías multinacionales del sector farmacéutico, healthcare o life sciences. -Amplia experiencia en redacción, revisión y negociación de contratos complejos, especialmente acuerdos de Licensing-in, colaboraciones estratégicas y acuerdos internacionales. -Sólido conocimiento de derecho mercantil y contractual, con clara orientación a negocio. -Experiencia trabajando con stakeholders senior (Dirección, Business Development, Finanzas, equipos internacionales). -Capacidad para liderar .
