**WHAT YOU WILL BE DOING**

**PagoNxt is looking for a Senior Lawyer based in our Boadilla Office **.**

PagoNxt (a Santander company) is a disruptive global payments business which operates across a number of areas (including merchant and trade solutions.

The PagoNxt Group is headed by PagoNxt S.L., which among other aspects holds a small team in charge or the global legal oversight of different business areas across the whole PagoNxt Group, the execution of the overall PagoNxt strategy (including M&A deals), as well as governance matters and is the principal point of contact for legal and internal regulation interactions with the broader Santander Group.

**WHAT YOU WILL BE DOING**

As a **Senior Legal Counsel **, reporting directly to the Deputy Chief Legal of PagoNxt, you will have particular focus on the following responsibilities:

- Advice to the PagoNxt global control and support functions in their global activities, ie HR, Risks & Compliance, Finance, etc. In particular, support in the preparation and negotiation of all sort of contracts connected with third party providers (knowledge of EBA Guidelines on outsourcing arrangements and DORA will be valued) and promote the vendors risk management function, in coordination with PagoNxt affiliates.
- Assist in carrying on the IP legal function, with focus in protecting all intangible assets developed within PagoNxt. Help in developing a global strategy to protect Intellectual Property assets, designing uniform policies and assisting in their implementation. Analyze third party claims in relation to Intellectual Property, coordinate with external consultants, if necessary. Negotiate, draft and review all contracts in relation to Intellectual Property rights.
- Support the setting of the PagoNxt global legal function, including the design and implementation of the adequate legal risk control policies and controls. Overall, assist in PagoNxt group’s implementation of its internal regulation.
- Assistance in corporate legal matters of PagoNxt S.L. as well as other PagoNxt group companies (including those with minority shareholders).
