Head of Legal & Regulatory Affairs leads PayXpert’s legal and regulatory affairs function, ensuring that the Company can pursue its strategy, products, partnerships and transformation within a robust legal, regulatory and corporate governance framework. As a senior business partner to the Chief Executive Officer and leadership team, the role provides independent, pragmatic and commercially grounded legal advice on matters that may materially affect PayXpert’s growth, operations, regulatory position, reputation or risk profile.
Operating in a regulated payments environment across multiple jurisdictions, the role owns the legal framework supporting commercial activity, product and market development, regulatory affairs, corporate governance, privacy and data protection, contractual risk and company secretariat responsibilities.
Legal Strategy, Business Enablement & Executive Advisory
- Set and maintain the Legal & Regulatory Affairs priorities, standards and operating model in alignment with PayXpert’s strategy, risk profile, regulatory obligations and growth agenda.
- Act as a trusted legal adviser to the Chief Executive Officer, senior management and relevant governance bodies on material legal, regulatory, corporate and strategic matters.
- Assess the legal implications of strategic initiatives, transformation programmes, new business models, partnerships, structural changes and significant commercial decisions.
- Translate complex legal and regulatory requirements into clear options, trade-offs and recommendations that enable timely and informed business decisions.
Commercial Contracts, Partnerships & Outsourcing
- Lead the drafting, review and negotiation of material client, supplier, technology, outsourcing, strategic partnership and other commercial agreements across relevant jurisdictions.
- Advise Commercial, Product, Operations and other business teams on contractual structures, liability, service commitments, regulatory constraints, data considerations and legal risk allocation.
- Establish and maintain contractual standards, templates, playbooks and approval principles that support consistency, negotiation efficiency and controlled risk-taking.
Product, Market Expansion & Regulatory Change
- Advise on the legal and regulatory perimeter of new products, payment methods, partnerships, routes to market and market expansion initiatives, including the implications for entity structure, permissions, contractual models and customer propositions.
- Lead the legal assessment of regulatory developments affecting PayXpert’s activities and translate relevant changes into clear business impacts, decision points and implementation requirements.
- Support Product, Commercial and business teams in structuring initiatives so that legal and regulatory requirements are embedded early in design and delivery rather than addressed only at the point of launch.
Corporate Governance, Company Secretariat & Group Alignment
- Act as key legal adviser to the governance bodies of PayXpert Spain and support directors in understanding and discharging their corporate and governance obligations.
- Serve as Secretary of the Board of Directors and relevant committees where required, ensuring governance processes are properly organised, documented and followed.
- Coordinate Board and Shareholder meetings, including agendas, resolutions, minutes, corporate approvals and supporting documentation.
Privacy, Data Protection & Legal Risk
- Provide senior legal advice on GDPR, privacy and data protection matters, including contractual requirements, international data transfers and material privacy risks.
- Review and negotiate Data Processing Agreements and other privacy-related legal documentation, ensuring appropriate allocation of responsibilities and protections.
- Support business and technology initiatives involving personal data by identifying legal requirements and advising on proportionate safeguards and documentation.
