About the Position

Werfen is seeking a highly skilled Senior Legal Counsel to provide legal services to all its affiliates. The ideal candidate will have a special focus on venture capital investments, but may also participate in other M&A processes as well as provide recurrent commercial legal advice.

Key Responsibilities

  • Provide sound legal support to Werfen, including ongoing legal support for other business areas and the Business Development team.
  • Draft, review, negotiate, and provide recurrent legal advice regarding all documents related to investments and divestments in venture capital deals or M&A deals (including NDAs, investment agreements, shareholders' agreements, sale and purchase agreements, convertible loans, and other similar documents).
  • Draft, review, negotiate, and provide recurrent legal advice on various contracts such as manufacturing, procurement, supply, OEM, distribution, agency, transport, logistics, licensing, material transfer agreements, clinical studies, consultancy, financing, and real estate.
  • Participate in due diligence processes and draft and/or review due diligence reports.
  • Attend and actively participate in negotiation sessions of agreements.
  • Coordinate, collaborate with, and instruct external lawyers while managing their budgets.
  • Hold recurrent meetings with team members and counterparties regarding investment, divestment, purchase, or sale opportunities and execution of deals.
  • Provide legal advice and assist the We Venture Capital team in post-closing follow-up of deals (e.g., reviewing board and general shareholders' minutes, potential additional investment rounds, external financing, etc.).
  • Draft and update templates and collaborate with team members.
  • Keep updated copies of all ongoing contracts and monitor compliance of the relevant business units with the execution of the agreements.
