Legal Counsel – Ports
to help us shape the future of our legal operations. Working closely with our Head of Legal, you'll play a key role in developing and strengthening the legal area of the Ports cluster (Madrid or Valencia).

Main Responsabilities
- Legal Advice: Provide legal support and guidance to all business areas, ensuring solutions aligned with corporate strategy.
- Contract Negotiation and Review: Draft, review, and negotiate commercial contracts, service agreements, and other strategic deals, guaranteeing the protection of the group's interests and risk mitigation.
- Administrative and Port Law: Offer specialized advice on administrative and port regulations, managing procedures and relationships with authorities and public bodies to ensure compliance and defend the group's interests.
- Labor Law Advisory: Support the management of labor-related matters, including prevention and response to accidents, inspections, and sanctioning procedures, ensuring compliance with current labor regulations.
- Regulatory Compliance: Ensure proper application of local and international regulations applicable to the cluster, promoting a culture of compliance across all areas.
- External Law Firm Management: Coordinate and supervise relationships with external legal firms, optimizing resources and ensuring alignment with corporate objectives.
- Corporate and M&A Operations: Actively participate in strategic processes such as mergers and acquisitions (M&A), corporate restructurings, and capital increases, providing legal analysis, document coordination, and negotiation support to guarantee proper execution and alignment with group objectives.
- Corporate Governance: Prepare and manage corporate documentation (board and shareholder meeting minutes, granting and revocation of powers of attorney, certifications, corporate books), ensuring proper formalization and filing in accordance with applicable regulations.
- Risk Prevention and Mitigation: Identify potential legal contingencies and design proactive plans to mitigate them, reducing business exposure.
- Internal Policies and Compliance: Collaborate with the Head of Legal in defining, developing, implementing, and updating internal policies on legal and compliance matters (data protection, crime prevention, anti-corruption, etc.), promoting best practices and transparency throughout the organization. Additionally, participate in training and awareness initiatives for company staff on applicable regulations and corporate policies, ensuring proper understanding and application at all levels.

Minimum Requirements
- Law Degree and at least one Master's degree, preferably in Corporate Legal Advisory, International Law, or Maritime Law.
- Professional Experience: Between 3 and 5 years in law firms and/or companies, preferably in commercial law, with exposure to international environments.
- Additional experience as in-house counsel in logistics, port, or maritime companies will be highly valued.
- Strong command of civil and commercial law, with the ability to handle contract negotiation and drafting, commercial transactions, and day-to-day corporate governance for group companies.
- Knowledge of administrative and port law, as well as labor regulations.
- Desirable knowledge in compliance matters and basic understanding of designing, implementing, and monitoring compliance policies (data protection, crime prevention, anti-corruption, etc.), with the ability to integrate them into business operations and collaborate on training and awareness initiatives.
- High level of English (spoken and written), essential for working in an international environment.
- Rigorous, technically strong, and versatile profile with a global vision and attention to both detail and business needs.
- Ability to negotiate complex contracts, manage risks, and anticipate contingencies.
- Excellent communication, influencing, and teamwork skills in multicultural contexts.
- Proactivity, autonomy, and ability to manage multiple projects simultaneously.
- Willingness to travel occasionally, both nationally and internationally, to attend meetings, negotiations, and dealings with authorities.
