Corporate Lawyer

**Responsible for**:
Supporting the UK Legal team in providing legal advice to company’s operations in Spain.

**Key Tasks & Accountabilities**:

- Providing first line legal advisory services to the Group with respect to all legal and regulatory issues affecting the business in Spain, including but not limited to:

- the use of data assets in a manner that complies with licence terms, legislation, regulation, industry codes and policy;
- commercial contracting (client and supplier);
- commercial and consumer litigation;
- corporate and company secretarial matters;
- employment matters;
- commercial property matters (e.g. lease of business premises).
- Creation and negotiation of contracts of various types in connection with the services as described above.
- Management, in coordination with UK Legal, of the protection of Group’s registered and unregistered intellectual property rights.
- Assisting UK Legal Operations team with respect to automation of contract production.

Maintaining (i) an in-depth knowledge of the contracts, legislation, regulation, industry codes and policy that regulate
- the use of data assets by the Group; and (ii) an expert level understanding of how these impact the business in Spain.
- Supporting the Data Protection Officer (DPO) for the Group’s Spanish operations (including providing support on any data incident investigations in Spain (or involving Spanish personal data)).
- Supporting the Group’s representative at external data oversight committees /governing bodies.
- Assisting Product lawyers with product and data protection related matters (e.g. privacy policies and model clauses).
- Providing training and support to the business (in particular, Legal Transactions, Go To Market, Sales Consolidation and Account Management teams) in respect of the use of the Group’s data assets, products and services in compliance with data protection legislation, so that other teams can handle first-line data protection queries.
- Liaising with the Solutions Group and Operations teams as appropriate to assist in their tasks relating to compliant management of the Group’s data assets and products.

Supporting the UK’s Data Governance Office in them exercising their oversight of and support to the Spanish operations

Key Skills:

- Being able to offer commercial as well as legal advice based on commercial experience, while at the same time keeping policy and procedure framework.
- A high level of drafting skills.
- Very strong negotiation skills.
- A thorough knowledge and understanding of the content of and reasons behind the applicable policies and procedures of the company (including those maintained by UK Legal). Compliance with all such policies and procedures at all times and obtaining approval from UK Group Legal Director for any deviation from these.
- Detailed understanding of data protection regime, especially around GDPR as implemented in Spain.
- Sound understanding of other applicable regulatory regimes.
- Excellent English language competency.

Interna Contracts:
All departments with focus on: Sales, Client Management, Product, Group Finance, Procurement, DGO, Risk, Compliance, UK Legal (the Legal Transactions Team and the Legal Regulatory Team) and Information Security (TPRM), DPO.

Previous Experience Required:
This role would suit a qualified lawyer with at least two years’ post-qualification experience of a wide variety of in-house legal activities, including commercial contract work, preferably covering IT and data related matters, HR-support work (including supporting the HR team maintain template agreements and procedures which meet legal requirements), legal advisory work, preferably covering data privacy
