As a junior corporate legal advisor you will be part of a recently-created legal team that is responsible for more than 60 companies. The purpose of the position is to support local legal manager and Legal team (headquartered in Brussels/Luxembourg) in all the company’ corporate and commercial areas.

Your day to day work will include, among other tasks:

- Corporate area:

- All kinds of bylaw amendments (capital increase/ decrease, accordion operations, change of corporate name/address, etc.)
- Appointment of offices (directors, auditors, members and offices of the board of directors), change of administrative bodies.
- Granting of all kinds of PoAs (general or especial).
- Incorporation, dissolution and winding-up of companies or branches.
- General corporate obligations of the companies: annual accounts drawing-up and approval, commercial books and public deed safekeeping, quarterly minutes of board of directors, etc.
- Commercial area:

- All kinds of commercial agreements: distribution, agency agreements, supply agreements, mediation, loan agreements, subordinated loan agreements.
- In general, all kinds of service agreements.
- M&A area:

- Mergers, segregations and, in general, all operations of the Structural Modifications’ Act. (Due diligence, drafting of corporate documents and closing).
Supervising and providing assistance in Company Acquisition operations, as may be required by our external consultants.
- Corporate crisis area:

- Dealing with bankruptcy proceedings of clients.
- Solving corporate crisis in group companies (forced dissolution obligations (S.A.), companies falling under dissolution cause (S.L. and S.A.).
- Tenders
- To draw up and submit bids for tenders, auctions, projects, services, studies, and participate in tenders for the government of the State or of the autonomous communities, town councils, municipalities and any other administrative or private governing body; to make claims and appeals and to produce the relevant documents until the complete award in favor of the company.
- Compliance and Data Protection area:

- Implementation of new system of compliance and data protection.
- General legal area:

- In general, producing or assisting in the drafting of any kind of legal document, even documents related to labor, administrative or in general non-corporate areas of Law, as required by the group.

**Requisitos**:

- Law degree.
- Master’s degree in Corporate/Commercial Law (LLM) would be a plus.
- Registration with a Spanish Bar Association (desired)
- 0-1 years of experience as corporate / commercial lawyer.
- High knowledge of Spanish Companies’ Act and Commercial Registry Regulation.
Knowledge on basic accountability would be a plus.Información adicional
