Legal Counsel SCF HQ

**SCF HQ is looking for a Legal Counsel, based in our Boadilla del Monte office.**

**Santander Consumer Finance**focuses on business development related to consumer finance products, sales channels and commercial agreements with dealers, vehicle manufacturers or retail distribution establishments, as well as commercial functions associated with direct sales (branches, call centers or digital channels) and indirect sales (through third parties) of consumer finance products.

**WHAT YOU WILL BE DOING**

As legal counsel **,**you will **be legally supporting all different areas and units of Santander Consumer Group, working together as a team.**As a Legal Counsel, you will be a part of the SCF legal team, with a focus in the M&A area with the following key responsibilities:

- Lead and advise on domestic and international M&A deals, including acquisitions, divestitures, and joint ventures.
- Draft, review, and negotiate transaction documents, including NDAs, SPAs, and shareholder agreements.
- Conduct and oversee legal due diligence processes.
- Legal Advisory:

- Provide strategic advice on deal structuring and regulatory compliance in alignment with financial industry standards.
- Collaborate with internal stakeholders to evaluate potential risks and develop mitigation strategies.
- Ensure compliance with corporate governance requirements during M&A transactions.
- Liaise with external legal counsel, regulatory authorities, and counterparties.
- Build and maintain strong relationships with internal business units, including finance, strategy, and operations teams.
- Stay updated on relevant financial laws and regulations, ensuring all transactions comply with applicable requirements.
- Handle cross-border legal issues and coordinate with local counsel when necessary.

EXPERIENCE
- 5/8 years of experience in similar tasks working in top tier law firms or as in-house lawyer in regulated companies.

EDUCATION
- European qualified lawyer - Degree in Law.
- Specialization on any fields relating to Santander Consumer Finance activity.

SKILLS & KNOWLEDGE
- Excellent English and Spanish oral and written communications skills and a high standard of drafting.
- Excellent interpersonal, negotiation and communication skills.
- Detail-oriented and well organized.
- Have a result-driven mindset ensuring high quality delivery, being a problem-solver.
- With aptitude to work with the different areas and colleagues as a team, but also with little director or oversight.
- Ability to work in a very dynamic environment with many timely demands from internal business colleagues and external regulators.
- Other languages will be a plus
