**The Wealth Management & Insurance division is looking for a **Legal Counsel specialized in Bancassurance **, based in our Boadilla office.**

**The Wealth Management & Insurance division **covers three businesses in all Santander Group countries: Insurance, Asset Management and Private Banking. We work to provide the best solutions to our clients in this three businesses in the 10 countries where we have a presence.

**WHAT YOU WILL BE DOING**
As a **Legal Counsel **, you will be a part of the Wealth Management legal team, with a focus in the insurance area and, specifically, in the bancassurance agreements executed by Santander Group and the relevant Alliances with the Insurance Partners.
The Insurance area within the Wealth Asset Management & Insurance Division is one of the most relevant units for the Group in terms of fees (ca.15%) and attributable (ca.10%).
Santander Group insurance model involves a set of different alliances with insurance partners that has been developed and implemented over time: (i) JVs with different partners by country/region for most of the products (Zurich-Latam, Aegon&Mapfre in Iberia, Allianz-Poland, CNP-Santander Consumer Finance and HDI-Brazil), (ii) own companies for some limited cases (Life savings in Spain, Portugal and Capitalizaçao Brazil) and (iii) specific distribution agreements for certain geographies. Based on this mixed model of alliances with different partners, the current corporate structure involves a number of different entities (mainly holdings, insurance companies and intermediaries) in different countries that need to be oversighted.
We need someone like you to help us in different fronts:
- Drafting and negotiating of waivers to exclusivity agreements.
- Analyze from a legal point of view new products, distribution channels and contracting modalities for the global business for Insurance Area
- Analyzing the legal documentation formalizing the Insurance Alliances such as share purchase agreements, shareholders agreements, distribution agreements, SLAs, etc.
- Assistance in the incorporation, corporate secretary and any other governance matters.
- Analyzing on implementation of international and local regulations related to insurance (e.g. EIOPA).
- Coordinating with counter-parties, whether internal (other departments and areas of the Group) and external (legal advisors) in the review, negotiation, signing and closing of documentation.
- Co-Sec Assistance: Company Secretary of the Holding company of the Division, and secretary functions for the Insurance Forum; participation in the implementation of Group governance documents and procedures.
EXPERIENCE
- 5+ years in an insurance company, international law firm (insurance or corporate/finance areas), banking entity.
EDUCATION
- Law Degree
