**Business Area/Dept Overview**:
Within BNP Paribas CIB Global Banking, the European Advisory Group is a team of c. 175 advisory bankers (from Analysts to Vice Presidents) supporting the senior Bankers from both M&A EMEA and Industry Groups and dedicated to the origination and execution of M&A transactions for the account of BNP Paribas clients. The team has its hub based in Paris with over 70 Analysts, Associates and VPs, and has geographic offices based in Germany, Spain, Italy, Belgium, Sweden, the UK, Dubai, the Netherlands and Portugal.

The M&A EMEA and Industry Groups teams support their clients all along their external growth projects or asset disposal processes, from the early identification of opportunities and definition of the most suited solution, to the negotiation and full implementation of the transactions

Key sectors

Consumer, Retail, Healthcare (CRH), Energy, Natural resources, Infrastructure, Transportation (ENRIT), Industrials, Real Estate and TMT; the team works on domestic, cross-border, international buy-side and sell-side transactions for corporate, private equity and government clients.

**Purpose & Scope of role**:
Purpose:

- Support the Managing Director/ Director and Vice President in the origination, structuring and execution of transactions

Scope: part of the European Advisory Group (EAG) which provides support to Advisory Teams (M&A EMEA and Industry Groups) in the course of origination and execution of M&A transactions

**Key Responsibilities of role**:

- Contribute to the entire M&A process, from marketing through to execution
- Ensure quality and timely preparation of all materials required for deal preparation

**MARKETING**:

- Assist in marketing to clients;
- Ensure high quality standards and reliability of all marketing materials;
- Keep analysts informed about marketing activities;
- Build and maintain internal networks;
- Think commercially about a client’s business and identify new business opportunities;

**EXECUTION**:

- Responsible for valuation / modelling;
- Performing background industry and company research, synthesising information from diverse sources
- Challenge senior officers on both commercial and technical aspects of transactions;
- Undertake viability analysis to establish the appropriateness of individual companies;
- Ensure high quality standards and reliability of all materials and process execution (Due Diligence, credit approval, including Analysts’ work);
- Interact directly with clients and with other advisors (lawyers, co-advisors, etc) at an appropriate level;

**REGULATION**:

- Ensure that all regulatory and commercial training is completed on time and refreshed as required;
- Responsible for adherence to the Bank’s corporate policies, to its internal Compliance regulations as well as to appropriate external Regulators

**Experience, Qualifications & Competencies**:

- A degree from a leading university with an excellent academic record; or equivalent work experience
- Demonstrate an understanding of the M&A product and service including transaction structuring and analysis, valuation, fairness opinions, capital increases, IPOs, privatisations, etc
- Previous work experience related to financial advisory or experience in Investment Banking / Corporate Finance with the top tier investment bank or a boutique, experiences with a Big Four company in the field of Mergers and Acquisitions/Transaction advisory
- Previous experience within top tier investment bank and in similar business area
- Assume responsibility towards client satisfaction and helps develop client relationships at his/her level
- Capacity to develop autonomously market awareness and general business culture
- Modelling and valuation - knowledge of integrated financial statements models, comparable companies, comparable transactions, DCF, LBO models
- Carry-out the most complex analysis in almost full autonomy
- Express his/her messages in an effective, organized way, appropriate to the audience being addressed
- Understanding of financial markets start constructing a broad point of view
- Be knowledgeable of BNPP product offerings
- IT literacy in Microsoft Office and experience in using investment banking databases (e.g. Factset, Dealogic, Bloomberg)
