.About the opportunityReporting to the Head of Reward, we are seeking a highly skilled Senior Regulatory & Governance Reward Lead to join our team in Germany.The successful candidate will focus on governance aspects, work closely with the relevant teams to prepare materials for Remuneration Committee meetings, and ensure compliance with relevant regulations such as the Institutsvergütungsverordnung (IVV), Corporate Sustainability Reporting Directive (CSRD) and the Banking Act (Kreditwesengesetz, KWG).This role requires a deep understanding of executive compensation, regulatory frameworks, corporate governance, mandatory disclosures, and reporting, as well as ensuring that our reward policies are fully compliant. Additionally, the role involves identifying and reporting material risk takers and ensuring compliance with related regulations.In this role, you will:Key Responsibilities:Governance and Compliance:Ensure compliance with IVV, KWG and CSRD regulations related to executive compensation and corporate governance.Develop and implement policies and procedures to maintain adherence to regulatory standards.Monitor changes in relevant laws and regulations and update internal policies accordingly.Ensure all reward policies are fully compliant with relevant regulations.Remuneration Committee Support:Provide expert advice and support to the Remuneration Committee on all aspects of executive compensation and governance.Prepare meeting materials, analyses, and recommendations to the committee.Assist in the development and review of executive compensation packages, ensuring they are competitive and compliant.Compensation Strategy and Design:Design and implement executive compensation programs that align with company objectives and regulatory requirements.Conduct market research and benchmarking to ensure competitive compensation structures.Develop and maintain incentive plans, long-term equity plans, and other reward mechanisms.Mandatory Disclosures and Reporting:Ensure all mandatory disclosures related to executive compensation and corporate governance are accurately prepared and filed in a timely manner.Prepare detailed reports on executive compensation, governance, and compliance for internal and external stakeholders.Conduct regular audits to ensure ongoing compliance with IVV, CSRD, and other relevant regulations.Material Risk Takers Identification and Compliance:Identify and report material risk takers within the organisation.Ensure full compliance with regulations related to the identification and management of material risk takers.Develop and maintain policies and procedures to manage risks associated with material risk takers.Stakeholder Management:Collaborate with internal stakeholders, including HR, legal, and finance departments, to ensure alignment and compliance.Communicate effectively with external auditors.Serve as a point of contact for queries related to executive compensation, regulatory compliance, and material risk takers
