Principales tareas:

Entre las principales áreas de asesoramiento destacan:

Relaciones con gobiernos y con empresas nacionales en el marco de procesos de adquisición de dominio minero en los distintos países en que actúa, incluyendo el análisis de la normativa aplicable, la participación en rondas de licitación nacionales internacionales y adjudicaciones y negociación de contratos para el estudio de bloques y presentación de ofertas y contratos de operación en caso de obtener dominio minero.

Procesos de adquisición y dilución de activos en los distintos países en que actúa incluyendo la elaboración de acuerdos de confidencialidad, la asesoría a procesos de data room, due diligence y Q&A y la negociación de contratos incluyendo la asesoría a procesos de cierre y seguimiento de los distintos hitos que integran dichas operaciones.

Negociación de pactos de socios en JV societarias y de acuerdos de asociación en JV contractuales y de contratos vinculados con la operación de las actividades de exploración y producción, incluyendo pero no limitando a contratos específicos tales como Lifting Agreements, Balancing Agreements, Unitization, Equalization of past production and costs, etc.

Gestión y coordinación con los distintos despachos locales con relación a asuntos de reglamentación local y temas societarios vinculados con sociedades constituidas en diversas jurisdicciones donde el grupo cuenta con actividad (by-laws, PoAs, SHAs, governance issues).

Redacción, revisión y negociación de contratos de adquisición de bienes y servicios tanto para la industria del E&P como para el área de proyectos de Low Carbon.

Asistencia a las diferentes unidades de negocio en el análisis de la legislación pertinente relativa a sus negocios, incluyendo proyectos de Low Carbon.

Análisis y asistencia en lo relativo a las distintas controversias o disputas legales que puedan surgir en operaciones, incluyendo mediación, arbitraje o litigios tanto a nivel local como a nivel internacional en coordinación con la dirección de contencioso internacional.

Proporcionar asesoramiento continuo a los equipos internos para garantizar el cumplimiento de las políticas, reglamentos y procedimientos internos establecidos por la compañía.

Encajarás en el puesto si:

Buscamos un/a abogado/a para el equipo de Servicios Jurídicos dentro de una gran empresa energética integrada que desarrolla su actividad en más de 40 países prestando asesoramiento especializado en el negocio de (i) exploración y producción de hidrocarburos y (ii) de almacenamiento de energías renovables.

Abogado/a colegiado/a con experiencia mínima demostrable de 3 a 5 años en el desempeño de funciones similares a las anteriormente señaladas, bien en firmas internacionales de abogados de primer orden, bien en departamentos de asesoría jurídica de empresas multinacionales, preferentemente compañías petroleras o energéticas.

Valorable experiencia en áreas de M&A, societario y/o derecho público.

Alta capacidad de negociación y de análisis de riesgos con competencia para redactar de forma clara y objetiva.

Persona motivada, proactiva, dinámica, con gran capacidad de trabajo y gestión, acostumbrada a trabajar en equipo y en un entorno internacional bajo presión, orientación a resultados, dotes de comunicación, compromiso con el ejercicio de la abogacía.

Capacidad para trabajar efectivamente en entornos multiculturales y mostrar sensibilidad hacia las diferencias culturales en la negociación y la resolución de conflictos.

Ofimática a nivel avanzado y manejo de bases de datos de información jurídica.

Disponibilidad para viajar.

Nivel de Inglés C2 u equivalente

Valorable nivel similar de francés.
