At TeamSystem Spain, the Legal Department acts as a strategic partner to all business areas, supporting the company in key initiatives and high-impact projects. Our work spans corporate transactions, commercial contracting, data protection, compliance, and full legal support to all group entities in Spain.We also work closely with the international legal team, which allows us to develop a global perspective and actively participate in cross-border and international projects.We are looking for a Senior Legal Counsel to lead the department and play a key strategic role in the company's legal operations. The selected candidate will work closely with senior management and act as a trusted advisor across the business.KEY RESPONSIBILITIESM&A and Corporate TransactionsDrafting NDAs, LOIs and non-binding offers.Coordinating and overseeing due diligence processes.Negotiating SPAs, SHAs and other transactional documents.Supporting the structuring, execution and closing of acquisitions.Corporate LawPreparing shareholders' and board meetings.Drafting minutes, resolutions and corporate documentation.Providing ongoing corporate governance support across the group.Commercial Contracting- Drafting, negotiating and reviewing a wide range of commercial agreements, including SaaS/cloud agreements, software licences, NDAs, partnership and reseller agreements, and service contracts.Cross-Functional Legal SupportProviding day-to-day legal advice to multiple business units, including:Data protection (GDPR).Compliance and regulatory matters.General commercial and operational issues.International Collaboration- Working closely with the global legal team.- Supporting contract standardisation, policy alignment and cross-border initiatives.Internal Business Partnering- Acting as a trusted legal advisor to Finance, Sales, HR, Product Development, Marketing, and other internal departments.REQUIREMENTSEducation- Degree in Law.Experience- 5–7 years of legal experience.- Highly valued: experience in a top-tier law firm or in-house role within the tech/software sector.Hard SkillsStrong expertise in M&A and corporate law.Advanced negotiation skills in commercial contracting.Valuable: experience in data protection (GDPR).Soft SkillsStrong organisational skills and ability to manage multiple priorities.Excellent written and verbal communication.Proactive, autonomous and solution-oriented mindset.Detail-oriented with strong business acumen.Ability to work in dynamic and multinational environments.Languages- High level of English (C1 or equivalent).WHAT WE OFFERPermanent contract in a growing company.Hybrid work model and competitive benefits.Real opportunities for professional development and growth within the group.OUR VALUESInitiative: the energy that drives our business.Inclusion: essential for feeling part of a shared mission.Innovation: key to creating new challenges and seizing opportunities.With over 2 million clients and nearly 4,000 employees, TeamSystem Group is one of the leading software providers in Europe.
