Estamos colaborando con una compañía digital en pleno crecimiento que busca incorporar un/a Senior Legal Counsel con una sólida base en Corporate / M&A y experiencia en contratación compleja. La persona seleccionada será un socio estratégico para el equipo directivo, dando soporte en todas las operaciones corporativas de expansión y en la gestión del marco regulatorio relacionado con negocios digitales.

RESPONSABILIDADES

  • Liderar y coordinar los aspectos legales de operaciones de M&A: compras de compañías, fusiones, joint ventures e integración societaria.
  • Diseñar, negociar y revisar contratos de todo tipo vinculados al crecimiento del grupo:
  • o préstamos y financiación,
  • o ampliaciones o entradas de capital,
  • o acuerdos de socios, pactos de inversión,
  • o contratos marco con clientes y partners estratégicos.
  • Asegurar la correcta aplicación y actualización de la normativa de protección de datos y otras regulaciones ligadas a negocios digitales (privacidad, servicios de la sociedad de la información, consumer, etc.), coordinando cuando proceda con asesores externos o DPO.
  • Elaborar y mantener al día políticas internas y cláusulas tipo que puedan reutilizarse en las distintas operaciones y contratos del grupo.
  • Identificar riesgos legales relevantes en nuevas líneas de negocio y proponer esquemas contractuales que permitan escalarlas con seguridad.
  • Trabajar en contacto directo con Presidencia, CFO y resto del equipo directivo para anticipar implicaciones legales de decisiones estratégicas.

REQUERIMEINTOS

  • Licenciatura o Grado en Derecho, valorándose máster en Asesoría Jurídica de Empresas, M&A o similar.
  • 8–10 años de experiencia en M&A y contratación compleja, preferiblemente pasando por banca de inversión, despachos orientados a transaccional o departamentos de desarrollo corporativo del lado comprador.
  • Experiencia demostrable cerrando operaciones de compra de compañías y gestionando la documentación legal completa (SPA, pactos de socios, financiación, garantías, etc.).
  • Conocimiento y práctica en marcos regulatorios aplicables a negocios digitales, incluyendo protección de datos y normativa de servicios digitales, aunque no sea su único foco.
  • Perfil muy riguroso, estructurado, con alta capacidad de interlocución con dirección general.
  • Idiomas: castellano nativo; inglés bilingüe (contratos y negociación).
  • Disponibilidad para trabajar de manera presencial
