As a senior corporate legal advisor you will be part of the Central Services Office of the Eurofins Group in Spain. The purpose of the position is mainly to lead the corporate operations of all the companies of the Group in Spain and other areas, all in all, in compliance and with the aim of implementing all the Policies of the Eurofins Group.

Your day to day work will include, **MAINLY**:

- Corporate area:

- All kinds of bylaw amendments (capital increase/ decrease, accordion operations, change of corporate name/address, etc.)
- Appointment of offices (directors, auditors, members and offices of the board of directors), change of administrative bodies.
- Granting of all kinds of PoAs (general or especial).
- Incorporation, dissolution and winding-up of companies or branches.
- General corporate obligations of the companies: annual accounts drawing-up and approval, commercial books and public deed safekeeping, quarterly minutes of board of directors, etc.
- M&A area:

- Mergers, segregations and, in general, all operations of the Structural Modifications’ Act. (Due diligence, drafting of corporate documents and closing).
- Supervising and providing assistance in Company Acquisition operations, as may be required by our external consultants.
- Corporate crisis area:

- Dealing with bankruptcy proceedings of clients.
- Solving corporate crisis in group companies (forced dissolution obligations (S.A.), companies falling under dissolution cause (S.L. and S.A.).
- Contract area:

- Draft and revision of all kinds of commercial agreements: distribution, agency agreements, supply agreements, mediation, loan agreements, mortgage loan agreements, subordinated loan agreements, rental agreements, advertising agreements, non-disclosure agreements. In general, all kinds of service agreements with clients or suppliers.
- Drafting of all kinds of agreements in a very specific and **regulated sectors** like Environment or Product testing, Food testing, Clinical Diagnostics Testing, etc.
- Revision and implementation of Group Policies regarding contract execution **and request of group authorization where required.**
- Data Protection area:

- Revision of compliance of Personal Data Protection duties in all agreements and implementation of the Data Protection Program following the instructions of Central Services in Spain.

Other areas, depending on the requirements of the department may be:

- Claims and Lawsuits
- Drafting and replying of out of court claims.
- Manage the assignment of lawsuits to legal firms and to assist them with any need they may have.
- Tenders
- To draw up and submit bids for tenders, auctions, projects, services, studies, and participate in tenders for the government of the State or of the autonomous communities, town councils, municipalities and any other administrative or private governing body; to make claims and appeals and to produce the relevant documents until the complete award in favor of the company.
- Draft and revision of all kinds of public agreements and organization and filling in of any documentation as required. This includes: incorporation of temporary business associations with third parties, execution of collaboration agreements with other parties, etc.
- Revision and implementation of Group Policies regarding public contract execution and request of group authorization where required.
- General legal area:

- In general, producing or assisting in the drafting of any kind of legal document, even documents related to labor, administrative or in general non-corporate areas of Law, as required by the Division.

- Administrative area:
**Requisitos**:

- Law degree in Spain.
- Master’s degree in Corporate/Commercial Law would be a plus.
- Registration with a Spanish Bar Association (required)
- ** 3-5 years of experience as contract / commercial lawyer.**:

- High knowledge and interest in regulated areas such as Environment testing, Food testing, or Clinical Diagnostic Area.
