Corporate Legal Counsel

**Tasks in the role**:

- We are seeking a qualified lawyer with broad experience negotiating commercial software contracts and handling corporate matters to join its legal team in Barcelona.
- Primary legal partner to the company's procurement team, providing support on a variety of matters, including commercial software licensing, vendor agreements review and negotiations, and assistance with corporate document preparation and updates.
- May support other teams based on interest and need.
- Draft and negotiate a range of complex commercial contracts, including SaaS, license, vendor, and strategic partnerships.
- Manage contract forms/templates, including periodic review and change processes.
- Resolve legal issues and contract interpretation matters that arise in existing commercial relationships.
- Anticipate problems and initiate actions to ensure contractual issues are addressed efficiently.
- Develop and update the internal legal team knowledge base and deliver training to employees.
- Assist with legal support of efforts to expand business operations internationally.
- Assist the legal team in managing its tasks and addressing process questions.
- Provide business partners with thoughtful legal perspective and guidance, as well as risk assessment and mitigation strategies.

**Who we are looking for**:

- 2-3 years of experience as an attorney with in-house experience focusing on general commercial contract negotiation and drafting (not litigation), and with a minimum of one year experience working as an in-house attorney at a technology company.
- Bar certification in Spain.
- Fluent in English (both verbal and written).
- Preference for in-house public company experience.
- Preference for experience in drafting and negotiating SaaS software contracts.
- Ability to be creative and flexible but with a focus on business-oriented outcomes.
- Highly developed written and oral communication skills, with the ability to clearly articulate recommendations and options about complex legal issues.
- Tactful with strong external negotiation skills.
- Ability to quickly come up to speed and excel in matters specific to the marketing technology industry.
- You are highly collaborative and able to organize tasks and duties.

**A bit about the team**:
Legal Division supports Semrush activities:

- Advises the Board of Directors and corporate officers in all legal proceedings, including public company management.
- Provides transaction support when contracting with customers, vendors, partners, affiliates, leases, etc., by reviewing and negotiating relevant agreements.
- Provides guidance on marketing activities with regard to trademark & copyright issues, global data privacy laws for direct marketing, etc.
- Reviews and advices on legal and regulatory risks of new products, services, and expansion plans.
- Advises on employment & labor law issues and intellectual property & trademarks for all Semrush locations and personnel.
- Ensures compliance with all applicable laws in countries in which we operate/provide services, including global data protectionlaws and trade compliance.
