You will monitor the correct use of Standard ABB Templates and frame agreements with third parties (or other so called “Call-off Agreements"); support the business in the review of non-standard terms and conditions and advise on risk assessment and mitigation strategies during the whole project life cycle in those cases when review by Legal is not mandatory according to ABB Policies. **This position reports to**: Business Manager - Portfolio **Your responsibilities**: - Regularly review Standard ABB Templates (including Sales and Purchase agreements, NDAs, ABB GTCs, etc.), in coordination with Business Area responsible, Quality and Legal, in compliance with ABB Policies, and ensure they are well known and properly used by the business. - Regularly review, in coordination with Business Area responsible, Quality Department and Legal, in compliance with ABB Policies, the templates to be used for ABB Motion bids, assuring the presence of every relevant clause recommended by the relevant ABB Function (as updated from time to time); acceptance letters, etc. and monitoring they are used by the business in a consistent manner. - Support the business in the contract preparation, contract review and negotiation of non-standard terms and conditions, when review by Legal is not mandatory according to ABB Policies: - Participate in the bidding process throughout the different phases. - Review and comment on contract terms and conditions and commercial aspects of the tender/proposal. - Provide recommendations on contractual aspects and minimize risk exposure. - Before a contract negotiation, define expected goals and possible scenarios. - Contribute to develop a contract strategy based on ABB's policies, customer requirements, and the overall execution strategy - Team up with colleagues as part of the cross-functional negotiating team - Implement a harmonized contract management process with guidelines, procedures and reporting tools, including contract administration and documentation management. - Identify contract risks and opportunities (situations involving delays, warranty, recoveries, etc.), as well as provide analytics to support business strategies and agile decision making. - Contract Close-Out & claims management, supporting data collection and analysis. Defense to be coordinated by Legal if there is a threat of litigation. - In coordination with Legal, ensure proper implementation of ABB Policies, referring to Legal all issues where review by Legal is mandatory. - In coordination with the relevant ABB Function, provide personnel training on contractual/export control matters. **Your background**: - At least 5 years of experience (preferably in the same role) in a multinational and/or EPC company and/or project-driven company, closely involved in the bidding and/or execution phase of projects and/or commercial offers, providing contract administration, contract management and dispute avoidance/resolution activities as part of delivery teams. Experience in a (multiyear basis) service provider field/company would be a plus. - Experience in minimizing risk exposure. - Experience in liaising with company’s internal functions (such as Procurement, Legal, Export Compliance). - Sound knowledge of contractual law in the Spanish jurisdiction as well as experience in other jurisdictions/international law/market practice, and notably in the equipment manufacturer market and its commercial conditions. - Knowledge of Microsoft Office and other usual office software - Relevant soft skills: team working and cooperation, communication and negotiation skills. Business oriented with and interest for detail and processes. - Engineering, business administration, economics and/or finance, law degree. - Proficiency in English language.
