Sr Legal Counsel

**POSITION TITLE: SPA_Senior Legal Counsel**

**DEPARTMENT: Legal**

**REPORTS TO: VP Assistant General Counsel**

**LOCATION: Barcelona, Spain**

Responsible for negotiating, drafting and closing a wide variety of contracts (client, vendor and strategic business partner agreements) for the Multinational Clients Group (MNC). Interfaces with all levels of the business and Corporate Management, and advises on day-to-day legal issues affecting MNC and ADP's other EMEA businesses. Ensures in each instance that the negotiated and drafted agreement terms and conditions are made in the best interest of ADP, accurately reflect ADP's policies and business practices, including the legal directives of the ADP Corporate Legal Department. Some travel will be required.

**SCOPE**:
Significantly impacts upon the business, revenue and operations of MNC (e.g., meeting fiscal revenue forecasts, retaining clients and achieving strategic goals) by providing legal advice and negotiating complex, outsourcing agreements (e.g., global customer contracts).

**ESSENTIAL RESPONSIBILITIES**:

- Provide day-to-day legal support to MNC, including advice and support relating to EU Data Privacy issues. Review a variety of contracts, correspondence, marketing and training materials. Interact with and advise MNC general management on issues related to global deals.
- Draft and negotiate complex global customer contracts with existing and prospective multinational customers.
- Coordinate the negotiation of global deals between the various MNC legal and business teams in the Americas, Europe and the Asia Pacific region.
- Cooperate with and support the various local ADP legal and business teams in Europe.
- Negotiate licensing and other types of corporate agreements for MNC.
- Provide assistance to the M&A team in connection with any acquisitions or dispositions involving MNC.
- Interface with Sales, general ADP management, and client/third party partner management and attorneys regarding the negotiation of contracts (including face to face meetings, as required), and the development of pre-contract terms and conditions within business/sales proposals. Interface with all levels of MNC personnel and the Legal Department to ensure contract terms and conditions are consistent with ADP's business practices, policies and goals (financial, fiscal, strategic, etc.).

**SKILLS/KNOWLEDGE/EXPERIENCE**:
**Education and Experience**:

- Juris Doctorate or equivalent degree from an accredited law school in Europe is required.
- Substantial experience (minimum 5 years) in a corporate law firm and/or as in-house counsel in a publicly traded company in Europe or in the U.S., with specific emphasis on contract negotiation, drafting, interpretation and contract process management.
- Experience with the data privacy laws of the U.K., France, Germany and Spain is useful.
- Some experience with acquisitions helpful.
- Experience with software licensing and other technology-related contracts useful.
- Excellent verbal and written communication skills necessary.
- Must have very strong negotiation skills with good business judgment.
- Strong Analytical skills necessary.
- Must have very strong legal drafting skills with a meticulous attention to detail and form.
- Must be fluent and able to communicate effectively in English.
- Must be able to conduct business meetings and negotiate and draft contracts and related documents in English.
- Ability to speak other languages, in addition to English, preferred.
- Must be a motivated self-starter with the ability to manage a transaction to completion and proactively anticipate issues or problems that may arise.
- Ability to work under pressure and meet critical deadlines necessary.
- Must have excellent time management and project management skills, be able to manage/prioritize multiple contracts and balance quality with expedience.
- Must have good interpersonal skills and be able to interface effectively with all levels of ADP management and external attorneys and clients.
