**THE ROLE**

The Resource will support Starlight's technical team in the management, set-up, coordination and technical supervision of the projects being developed, with the aim of (i) ensuring that each project is developed in accordance with the best practices and applicable regulations; (ii) supporting the technical team in acquiring relevant knowledge in new areas of business; (iii) contributing to the correct execution of each business decision.

With reference to the renewable energy sector (solar, on-shore and off-shore wind and, for the time being, battery energy storage systems) and the different geographies (so far Italy, UK, Greece, Romania and Canada) in which Starlight operates, the Resource will be asked to provide technical support in the following areas:

- Business Development: technology studies, preliminary project evaluation, gathering information on the specific applicable regulatory framework, selection of external technical advisors, support in the negotiation of development services agreements and consultancy contracts.
- M&A Transactions: Starlight could be involved in the acquisition of projects rather than the sale of its own renewable energy assets at ready-to-build status. The Resource will provide support to the M&A team, interacting with internal and external counterparties also in the financial and legal areas.
- Project Development: interaction with all parties involved, in particular with the technical consultants, constant monitoring of the development process timing and compliance with applicable permitting and technical regulations, review of technical documentation and due diligence; technical support in the evaluation processes related to projects under development in different countries. This activity is closely related to the previous one and implies involvement and support in contractual and corporate aspects.
- New Technologies Assessment: the Resource will provide technical support to acquire expertise in new technical areas, but also conducting individual or dedicated studies and attending conferences, training courses and events, liaising with manufacturers of components, EPCs and O&Ms of renewable energy assets.

**KEY ACCOUNTABILITIES**

**Business Development and M&A Transactions**
- Technical support in the management of all Starlight's extraordinary transactions in the renewable energy sector (divestment of projects under development, acquisition of pipelines/projects, financing transactions, external due diligence, etc.). The Resource will support the technical team in the evaluation of projects, providing input to the M&A team during the negotiations with counterparties at each stage of the extraordinary transaction (LOI, SPA, project financing, etc.), also through the management of external technical consultants, if appointed.
- Technical support in the due diligence process related to specific transactions (project acquisitions or disposals, etc.). The Resource will support the technical colleagues and the rest of the Starlight team in each phase of the due diligence process, from the preparation of the technical reports to the management of technical Q&As.
- Technical support, where required, to enable Starlight to establish partnerships in new countries. In this respect, the Resource will support the technical team in reviewing and negotiating all contractual documentation at each stage of this type of transaction where technical inputs are required (MoU, Development Services Agreement, Technical Consultancy Agreements, EPC, O&M, etc.), also through the management of external technical consultants, if appointed.

**Project Development and New Technologies Assessment**

Technical coordination and support for all ongoing and extraordinary activities required for the development of new renewable energy assets, such as:

- Establishing communication protocols, setting up VDRs, negotiating service development agreements and technical consultancy agreements.
- Monitoring the development process and timeline according to country-specific procedures and regulations, meeting with stakeholders on a regular basis and ensuring constant progresses of each project.
- Coordination and management of external parties, technical consultants, manufacturers of components, EPCs, O&Ms, etc.
- Any other activity necessary to support the development process of renewable energy assets (land agreements, consultancy arrangements, management and service contracts, etc.).
- Contributing to specific technical analyses and feasibility studies related to projects in various fields and geographies.
- Studying and keeping abreast of new technologies, also participating to conferences, training courses and events.

**EXPERIENCE & QUALIFICATIONS**
- Degree in Engineering.
- 2+ years of professional experience in the renewable energy sector. The level of experience will also be assessed by the number of M&A transactions, due diligence, development processes, construction activities, etc
