DescriptionPurpose of the Role Works as part of the Law Department to protect Vertiv business units, with particular focus on in‑house commercial contracting and employment matters, terms and conditions used in transactions are legally robust, commercially acceptable, and aligned with Vertiv's standards. Drafts and negotiate agreements (often directly with customers) for the sale of products, professional services, and software licensing to ensure agreements are clearly defined, documented, and in agreement with Vertiv's guidelines; supports Spain employment workstream in Spain and, where appropriate, other jurisdictions; and collaborates with corporate functions, business units, and outside counsel. Further the Legal Counsel will work with members of other corporate departments, business units and outside counsel. Customers Internal: Members of other Corporate Departments, Business Units External: Outside Counsel, Customers as it Concerns Negotiation Main activities Work under supervision of a Senior member of the Law Dept to provide timely review, analysis, drafting, interpretation and negotiation of contracts and other documents with external parties in line with company policies and objectives. Assist in employment law matters in Spain, including support for HR on policies, disciplinary processes, terminations, and coordination with external counsel when required. Provides counsel and advises Company management on legal issues, compliance and risk management (contracts, claims, litigation, legal changes, legal compliance and others), possible impact to Company. Draft and negotiate agreements for sale of products, professional services, and software licensing, ensuring clarity, compliance, and risk mitigation. Anticipates and mitigates potential legal problems within the organization and mitigates risk to avoid claims and litigation Conduct legal research and analysis on national and international laws, focusing on commercial contracting and Spanish labour law Anticipate and mitigate potential legal problems within the organization and mitigates risk to avoid claims and litigation Collaborate with business units, corporate functions, and external counsel to ensure effective legal support across Iberia and EMEA. Experience / Skills / Other Qualification / Degree in Law Spanish practising certificate (Colegiación) preferred or in process. Minimum 1/3 years of experience handling commercial contracts; exposure to employment law in Spain desirable. IT skills: Microsoft Office Solid drafting/negotiation skills in English and Spanish (B2+); ability to produce clear, commercial advice. Familiarity with Spanish employment law, and core concepts of IP, warranty/liability caps, indemnities, Incoterms, and public tenders. Languages: Fluent in English and Spanish; Portuguese a plus Resource to be located in Madrid. Optional Portugal #LI-VH2 #Legalcounsel
