Who we are looking for What you will do We are seeking a motivated and skilled Legal Counsel to join the Global Legal Business, Innovation & Protection unit reporting to the Lead Legal Counsel. The ideal candidate will have prior experience in M&A and/or licensing transactions, preferably within the pharmaceutical or life sciences sector. This role offers opportunity to work on licensing agreements and complex transactions that support innovation, growth, and the digital healthcare sector. You will be responsible for Drafting, reviewing, and negotiating license agreements, third‑party vendor agreements, service agreements, research agreements, consulting agreements, NDAs, and MTAs. Proactively advising on legal risks, monitoring claims and disputes, and translating complex legal issues into clear actions. Providing legal advice on transactional matters, including due diligence, risk assessment, and regulatory considerations. Collaborating cross‑functionally with R&D, business development, finance, and compliance teams. Supporting the management of external counsel relationships, coordinating activities, reviewing deliverables, and overseeing costs. Monitoring legal developments and industry trends relevant to licensing and M&A. Contributing to the development of internal best practices and templates. You will need to have Minimum 2‑4 years of transactional legal work, with exposure to licensing and M&A in international law firms or large corporations. Law degree (and successful completion of the Italian bar exam or foreign equivalent). Excellent command of English, both written and spoken. Strong analytical, negotiation, and communication skills. Ability to work independently and as part of a global legal team. Strong teamwork capabilities and cross‑functional collaboration. High level of resilience and adaptability in a dynamic environment. Excellent organizational skills with attention to detail and ability to manage multiple priorities within deadlines. Proven ability to work in international, cross‑cultural environments, often outside one’s comfort zone. Location The role is based in the HQ or in one of Chiesi affiliates in Europe.
