In turn, our competitive salaries, attractive benefits, and potential for career growth allow you to take on opportunity with confidence.**Role Description:**As an Underwriter focussing on insurance for Mergers & Acquisitions (Transaction Risk Insurance), you will form part of a dynamic team of professionals that focus on developing our portfolio in EMEA. You will directly report to the Underwriting Manager for Transaction Risk Insurance Interantional and carry out selection, analysis, and pricing of policies, as well as negotiate the insurance terms and conditions with brokers and insureds in order to issue the final contractual documentation. You will be key in helping build profitable relationships with brokers and insureds and your role will fully support and comply with the company’s objectives and standards.**Responsibilities:*** Identify deal risks through the study and analysis of M&A transaction documentation, both public and private, as well as financial statements, due diligence reports, etc.* Review M&A insurance submissions, prepare and submit quotes, liaise with brokers and secure business.* Follow Underwriting guidelines and submit underwriting, pricing and negotiations recommendations to senior team members.* Provide support to senior underwriters in all stages of the underwriting process, as well as project management, including monitoring transaction status, quoting and policy progress, premium statements and policy related documentation.* Draft, negotiate and adapt policy terms for the specific risks and challenges an M&A transaction presents.* Assist and oversee the performance of external legal counsel representing the company in each M&A deal.* Develop and maintain relationships with brokers, lawyers, private equity firms, deal principals and colleagues from Tokio Marine HCC offices worldwide.* Attend off-site conferences, sectoral events, seminars and meetings.**Requirements:*** Minimum 3 years’ experience in a role focused on transactions, e.g, law firm, corporate legal department, investment banking, advisory roles in financial services, private equity; or relevant experience in TRI underwriting* Bachelor’s in Law and LLM or Bachelor’s in Business Administration, Finance and Accounting.* Excellent written and oral communication skills in English is a must. Language capabilities in Spanish or Arab are a plus.* Basic knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, etc.).* Understanding of legal documentation, financial statements and tax documentation.* Specific experience with negotiating or mediating representations and warranties or other transactional risk insurance is a plus.**Profile:*** Ability to work in a fast-paced multi-tasking environment and complete on tight deadlines.* Strong negotiation and communication skills.* Entrepreneurial with good commercial skills.* Punctual, loyal and reliable.* Team player.#LI-AC1#J-18808-Ljbffr
