About the Role:
We are seeking a highly skilled Corporate Governance Specialist to join our team at Reconocida empresa. As a key member of our Corporate Affairs and Transactions team, you will play a crucial role in supporting our national and international entities in all related corporate governance, M&A, and capital markets matters.
Key Responsibilities:
- Corporate Governance and M&A Support: Collaborate with our internal and external resources to review and prepare all types of legal M&A and capital markets documentation, from inception to completion of the integration process.
- Agreement Review and Preparation: Review and prepare all types of agreements, including non-disclosure agreements, services agreements, corporate partnerships, joint ventures, and share purchase agreements.
- Corporate Governance and ESG Advice: Provide expert advice on corporate governance and ESG matters to ensure compliance with regulatory requirements.
- Regulatory Filings: Prepare regulatory filings regarding the securities market with national and international supervisory authorities.
- Board and Shareholder Meetings: Prepare General Shareholders and Board of Directors Meetings.
Requirements:
- Experience: 2-3 years of experience in corporate and capital markets laws.
- Education: Spanish Degree in Law or Law and Business Administration.
- Professional Background: Proven experience in a top law firm.
- Skills: Experience in corporate M&A, capital markets transactions, and corporate governance is a must. Ability to negotiate with large corporations, regulators, and interact with legal, financial, and tax advisors.
- Language Skills: Spanish (advanced+ proficiency), English (advanced+ proficiency).
- Personal Qualities: Excellent interpersonal communication skills, commitment, rigorous detail-oriented attitude, and ability to show initiative at work.
