About the Role

We are seeking a highly skilled and experienced Senior Corporate Attorney to join our team at Werfenlife. As a key member of our legal department, you will provide expert legal advice and support to our business units, ensuring that our operations are conducted in compliance with all relevant laws and regulations.

Key Responsibilities
  1. Provide Legal Support to Business Units

As a Senior Corporate Attorney, you will be responsible for providing sound legal advice and support to our business units, including the We Venture Capital team. This will involve drafting, reviewing, and negotiating various agreements, contracts, and documents related to venture capital investments, M&A deals, and other business transactions.

Contract Management

You will be responsible for managing and coordinating the preparation, review, and negotiation of contracts, including manufacturing, procurement, supply, OEM, distribution, agency, transport, logistics, license, material transfer agreements, clinical studies, consultancy, financing, real estate, services' provision, public tenders, and interactions with healthcare professionals.

Due Diligence and Negotiation

You will participate in due diligence processes, draft and/or review due diligence reports, and attend and actively participate in negotiation sessions of agreements.

External Counsel Management

You will coordinate, collaborate with, and instruct external lawyers, manage their budgets, and hold recurrent meetings with other team members and counterparties.

Post-Closing Support

You will provide legal advice and assist the We Venture Capital team in the post-closing follow-up of deals, including reviewing board and general shareholders' minutes, potential additional investment rounds, external financing, and other related matters.

Template Development and Maintenance

You will draft and update templates and revisions with team members, and keep updated copies of all ongoing contracts and monitor compliance of relevant business units with the execution of the same.

Requirements

To be successful in this role, you will need:

  • Education: Law Bachelor
  • Experience: Proven experience in corporate law, contract management, and negotiation
  • Skills: Strong analytical and problem-solving skills, excellent communication and negotiation skills, ability to work in a fast-paced environment, and proficiency in Microsoft Office
