Corporate Governance Lawyer

We are seeking a highly skilled Corporate Governance Lawyer to join our team at AmRest. As a key member of our Corporate Affairs & Transactional team, you will play a crucial role in supporting and assisting our national and international entities in all related corporate governance, M&A and capital markets matters.
Responsibilities- Collaborate on the review and preparation of all types of legal finance, M&A and capital markets documentation related to organic or inorganic growth, including coordinating internal and external resources to properly accomplish such projects.
- Collaborate on the review and preparation of all types of agreements, such as non-disclosure agreements, services agreements, corporate partnerships, finance agreements, joint ventures and share purchase agreements.
- Provide corporate governance and ESG advice to our entities.
- Prepare regulatory filings regarding the securities market with national and international supervisory authorities applicable to listed companies.
- Prepare General Shareholders and Board of Directors Meetings.
- 2-3 years of experience in corporate and capital markets laws.
- Spanish Degree in Law or Law and Business Administration.
- Proven experience in a top law firm.
- Experience in corporate M&A, capital markets and finance transactions and corporate governance is a must.
- Ability and skills to negotiate with large corporations, regulators and interact with legal, financial and tax advisors and with other stakeholders.
- Maintain an update awareness of regulatory and legal topics.
- High level of English.
- Excellent interpersonal communication skills.
- Commitment, rigorous detail-oriented, attitude and ability to show initiative at work, with the ability to contribute with your own ideas. Ability to adapt to any environment and work under pressure with deadlines.
