Are you a highly **skilled and experienced** legal professional seeking a challenging opportunity to make a significant impact in the field of Corporate/Commercial Law? Ignion is looking for a **General Counsel** to join our dynamic team.

Reporting to the CFO, the **General Counsel** is responsible for providing accurate as well as timely support and advice on a worldwide level in the field of Corporate Law, Commercial Law and Intellectual Property for all the brands and subsidiaries of Ignion Group.

**As the General Counsel, you will be responsible for a diverse range of legal duties and responsibilities, including**:

- Providing legal assistance during all stages of the companies’ lifecycles of the Group (creation, registration of corporate changes, approval of annual accounts, UBOs statements, etc.) with assistance of local lawyers/fiduciaries when needed.
- Providing legal assistance on management packages and group incentives.
- Drafting or reviewing corporate legal documents (minutes of shareholders’ meetings, board of directors’ resolutions, capital transactions, share transfer agreements, shareholders’ agreements, delegation of authorities, powers of attorney, etc.) and any other related contractual document.
- Draft and revision of all kinds of commercial agreements: distribution, agency agreements, supply agreements, loan agreements, rental agreements, advertising agreements, non-disclosure agreements, etc. In general, all kinds of service agreements with clients or suppliers.
- Performing legal research in various local legislations and case laws.
- Taking part in the legal process and drafting of templates.
- Managing external and internal legal resources where required.
- Taking part in M&A process (draft and review of NDA, LOI, due diligence, shareholders’ agreements and share purchase agreements, integration);
- Taking part in the design/delivery of training programs suitable for the needs of other relevant departments.
- Working with other team members on particular projects such as policies, processes, etc.
- Revision of compliance of Personal Data Protection duties in all agreements and implementation of the Data Protection Program following the instructions of Central Services in Spain.
- Safekeeping of contracts, corporate books and other important documentation (public deeds, etc.).
- Manage legal and contract negotiations at an international level. Litigation experience a plus.

**To excel in this role, you should possess the following qualifications and skills**:
**Qualifications**:

- Law degree in Spain.
- Master’s degree in Corporate/Commercial Law would be a plus.
- **Good knowledge of Spanish** law is required.
- **Approx 10+ years of work experience** in a related field in a top law firm or an international company. Spanish and English (both fluent speaking and writing).

- Highly developed written and oral communication skills, with the ability to clearly articulate recommendations and options about complex legal issues.
- Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions.
- Ability to grasp complex areas of law timely and accurately.
- Ability to do research and work on different local laws.
- Ability to balance priorities and organize work effectively to meet deadlines.
- Problem solving skills and ability to work in an international business environment.
- Excellent organization and time management skills, team player and able to work independently.
- Interpersonal managing skills: capable of managing a network of international external attorneys (e.g. Europe, USA, China)
- Leadership. Business instincts/sales skills. Negotiation skills.
- International experience (e.g living abroad at least 1-2 years) a plus.
- Project management skills a plus
