**Role & Responsibilities.**

This Associate Counsel position will provide legal support to American Express’s business in Spain and will also assist the American Express’ Corporate Secretary area in Spain. This role will report to the Director & Counsel for Spain.

Here’s just some of what you’ll do in this role
- Provide practical, business-oriented legal advice on different areas of laws, such as commercial law, payment services regulation, anti-money laundering, consumer protection, commercial agreements, company law and data protection.
- Identify and provide legal interpretation on material new laws or material changes in laws, which impact the business activities and affairs of Amex carried out in, and from, Spain. Also, partner with other colleagues from GCO and Government Affairs to monitor relevant legislative initiatives in EMEA and Spain and support other GCO colleagues in central projects.
- Assist the Company Secretary with different key tasks as needed, such as: the planning, managing and coordination of Spanish entities' Board of Directors; drafting documentation and prepare filings necessary to support corporate administration; submit filings to different authorities such as Bank of Spain; supporting key stakeholders to ensure the smooth operation of Board meetings and corporate governance matters.
- Draft and negotiate all types of business contracts and communications, as well as the company’s terms & conditions.
- Provide legal support on strategic marketing initiatives, agreements and new product and service development initiatives.
- Lead and project manage GCO initiatives and tasks.
- Independently represent GCO at important meetings or committees.
- Provide strategic, tactical, and other general guidance and advice to middle management, whether on specific projects or transactions or in relation to standard business processes, to ensure the organization understands and complies with legal and regulatory requirements.
- Oversee litigation.
- Proactively protect the brand and reputation of American Express by legal advice and guidance to governance and management supported by energetic internal advocacy.
- Manage external counsel budget with the aim to ensure that the company receives cost effective legal advice in all of the different countries that this role supports.

**Minimum Qualifications**:

- Master’s degree in Spanish law; practicing lawyer.
- Relevant work experience in Company Secretary functions and in the financial sector -preferably with payment services experience-, but other diverse backgrounds may be as well suitable.
- 3+ years of post-qualification experience.
- Very fluent in English and Spanish.
