**Job Purpose**:
Works directly with General Counsel, Assistant General Counsel, Senior Counsels and all other lawyers within the legal department in meeting the needs of TD SYNNEX's diverse client base. Manages the corporate records, books and minutes, and maintenance of corporate entities. Maintains departmental policies and procedures. Independently manages the collection of discovery request information. Drafts transactional documents, prepares subsidiary and corporate resolutions, and assists in securities and other regulatory compliance. Acts as indirect manager and directs and supervises work of global corporate paralegals in regional offices.

**Responsibilities**:

- Manages external vendor and the corporate entity and document database. Leads system training and support to regional paralegals. Acts as indirect manager, directs work and monitors completion of assignments by regional global company paralegals to ensure corporate compliance. (20%)
- Maintains corporate records and minutes for the corporation and its subsidiaries. Manages the corporation's external service providers regarding filings made in connection with the corporate secretary function and negotiates scope of services. Makes filings in appropriate jurisdictions. Creates and dissolves legal entities. (15%)
- Coordinates the execution, notarization and legalization of various legal documents. (10%)
- Manages incoming requests and the approval process for international subsidiary documentation. (5%)
- Organizes and assists with the preparation of board and committee meeting materials. (15%)
- Supports and reviews D&O questionnaires, proxy materials and annual meeting preparation and documentation. (5%)
- Drafts intercompany form agreements and maintains databases. (5%)
- Independently gathers all information requested and responds to discovery requests with review by attorneys. (5%)
- Assembles, proofreads and edits drafts of contracts involving leases, purchases, sales, insurance, employment and related matters. (5%)
- Assists in the drafting of transactional and other legal documents involving the corporation and its subsidiaries. (5%)
- Maintains corporate forms. (5%)
- Performs additional duties as assigned. (5%)

**Knowledge Skills and Experience**:

- 10 to 15 Years of relevant work experience
- Certifications: Paralegal certificate from the National association of Legal Assistants
- Possesses strong organizational and time management skills, driving tasks to completion.
- Able to constructively work under stress and pressure when faced with high workloads and deadlines.
- Able to maintain confidentiality of sensitive information.
- Able to collaborate and build solid, effective working relationships with others.
- Able to exhibit ability to be sensitive to the needs, concerns, and feelings of others.
- Able to quickly learn/adapt to new systems and technology.
