Senior Legal Counsel

Role Overview The Senior Legal Counsel will be the primary legal point of contact of the Group, working closely with leadership and cross‑functional teams across the company. This role involves broad responsibility across corporate, commercial, and regulatory legal matters, with a strong emphasis on M&A execution and post‑merger integration. This position is ideal for a self‑driven, business‑minded lawyer who can operate autonomously, navigate uncertainty, and provide pragmatic legal support in a fast‑changing, international environment.What You Will Do Corporate & International Legal Governance Manage the full lifecycle of legal entities across LATAM, EU, and SEA: incorporations, dissolutions, mergers, restructurings, and board/shareholder resolutions.Maintain and update corporate documentation, including public deeds, power of attorney registers, and corporate books.Oversee legal compliance related to statutory filings, annual accounts, and corporate secretarial obligations in multiple jurisdictions.Coordinate with Finance on annual accounts, statutory reports, audits, and cross‑border compliance matters.Mergers & Acquisitions Support end‑to‑end M&A processes: due diligence, transaction documentation, SPA/APA reviewings, closing activities, and integration actions.Manage relationships with external law firms involved in corporate, tax, and financial aspects of deals.Advise internal stakeholders on the progress of deals, associated risks, and mitigation strategies.Commercial & Regulatory Advisory Draft and review a wide variety of commercial agreements, including partnership agreements, NDAs, data‑processing agreements, vendor contracts, and real‑estate‑related commercial terms.Ensure contract compliance with local regulations across diverse markets, including LATAM, EU, and SEA.Provide regulatory guidance on market entry, licensing, data protection, consumer laws, and industry‑specific compliance.Legal Operations & Risk Management Implement and maintain legal processes, templates, policies, and risk‑management frameworks adapted to a‑moving business environment.Manage external counsel: budget oversight, scoping, quality control, and prioritisation of legal work.Support internal teams (Operations, Product, HR, Sales, Finance) with day‑to‑day legal questions and strategic guidance.What We Are Looking For Qualified lawyer with 4+ years of experience in corporate law, M&A, and international commercial matters.Proven experience managing corporate governance and legal entities across multiple jurisdictions (EU & LATAM required; SEA a plus).Strong end‑to‑end M&A exposure, including due diligence, transaction documentation (SPA/APA), and closings.Solid background in drafting and negotiating complex international commercial agreements.Demonstrated ability to manage external counsel across jurisdictions with budget and quality ownership.Highly autonomous, business‑oriented legal advisor, comfortable operating in fast‑paced, scaling environments.Fluent English and Spanish required.Hybrid Model or Remote work in SpainPrivate health insurance to support you to be at your best.Flexible time off.
