Job Overview

As Head of Legal you will be the principal 'general' legal resource and you will report into the COO. The role includes providing relevant advice to the COO and other senior management members.

You will hold a senior position in the business, providing legal leadership across the business by providing proactive, in-depth, legal, business-focused advice, as well as implementing initiatives and processes in order to set standards and reinforce a culture of integrity, quality, ethical behaviour and responsibility across the business.

You will be tasked with analyzing and identifying the legal risks and implications of the Spain business activities, keeping senior management in all departments informed of developments that potentially affect the business.

Key Responsibilities And Accountabilities

Providing comprehensive and strategic legal advice to management, executive teams, and the board of directors;Interpreting and applying relevant legislation, including regulations from the National Securities Market Commission (CNMV), the Bank of Spain, PSD2 (Payment Services Directive 2), and other national and European regulations;Interpreting and explaining the legal implications of the board's strategic and operational decisions;Keeping the board informed about changes in legislation and regulations that may affect MESL and MEMSV;Identifying and mitigating potential legal risks, proposing solutions and strategies to minimize these risks;Conducting recurring checks to ensure compliance with laws and regulations in business operations;Handling litigation and legal disputes, including coordinating with external legal advisors when necessary;Drafting, reviewing, and negotiating contracts and other legal documents;Drafting and reviewing minutes, resolutions, and other official board documents to ensure their compliance with applicable laws and regulations;Ensuring that all documentation presented to the board is complete and correct from a legal standpoint;Ensuring that all company documents and agreements comply with applicable laws and regulations;Acting as the main point of contact with regulators and government bodies on legal and regulatory matters;Staying updated on changes in laws and regulations that affect MESL and MEMSV;Developing and updating corporate policies and procedures that affect the board of directors;Ensuring corporate policies and procedures are properly implemented and followed;Promoting good governance practices and ethics within the board, ensuring responsible and legally correct decision-making.

Requirements

Educated to a Qualifying Law Degree LLB level;A degree in corporate finance or relevant training course an advantage.QualificationsPrevious experience in a similar role
